Legal Terms and conditions.
Plain English where we can, precise where we must.
The short version
- We review how your business appears in search and AI answers, and give you a report and a plan.
- Vyzpro is for businesses. By buying, you confirm you are buying for business use.
- We never promise rankings, AI citations, leads or revenue. Search engines and AI tools decide those.
- Reports use AI-assisted research and our team reviews each Report before we release it. They are professional opinion, not legal, financial, tax or compliance advice.
- Our liability is limited, as section 13 explains. Rights you have under the Australian Consumer Law, or any other law that cannot be excluded, always apply.
- The law of Victoria, Australia governs these terms.
This summary is for convenience. The full terms below apply.
01About these terms
These terms are a contract between you and Vyzpro, of PO BOX 604, Mount Waverley, Victoria, 3149, Australia ("Vyzpro", "we", "us"). They apply when you visit vyzpro.com (the "Site"), create an account, or buy or use a Vyzpro service (each a "Service"). "You" means the person or business using the Site or buying a Service. A "Report" means any report we deliver, including the free sample.
By creating an account, ticking the box to accept these terms, placing an order or using a Service, you agree to these terms and to our privacy policy. If you do not agree, do not use the Site or the Services. We keep a record of when you accept.
If you act for a business, you confirm you have authority to bind it, and "you" includes that business. These terms include your order confirmation and anything else we agree with you in writing. If a written agreement we sign with you conflicts with these terms, the written agreement prevails.
02Who can use the Services
The Services are for business customers. By placing an order you confirm that you are acquiring the Services for the purposes of a business and not as a consumer for personal, domestic or household use, as those ideas apply under the law of your country. Section 11 explains how Australian consumer law treats business purchases.
You must be at least 18 and able to form a binding contract. We offer the Services in Australia, the United States, the United Kingdom and parts of Asia. We may decline an order or close an account where we cannot lawfully or reasonably serve you.
You must not use the Services if you are located in, or ordinarily resident in, a country or territory subject to comprehensive Australian, United States, United Kingdom or United Nations sanctions, or if you are named on a sanctions list. You must not use the Services in breach of any export control or sanctions law.
03Our Services
We offer two Services:
- Vyzpro Audit: a one-off review of your website's search and AI search visibility, covering search engine optimisation (SEO), answer engine optimisation (AEO) and generative engine optimisation (GEO), delivered as a written Report.
- Vyzpro Monitor: twelve monthly Reports. The first is a full audit that sets a baseline. Each later Report compares your site with the earlier ones, showing which findings are closed, partly done, still open or new, and how your score moved.
Monitor delivers a Report each month. Unless we agree otherwise in writing, it does not include continuous monitoring or alerts between Reports.
While Vyzpro is in public beta, Vyzpro Monitor is not yet open for orders.
Each Report reviews publicly available information: your website, two competitors you name or we identify, and search and AI results at the time of review. We access third-party websites only as an ordinary public visitor would, and we are not responsible for their content or for them blocking, changing or removing it. Comparing more competitors is available by arrangement with our support team.
We prepare Reports using automated tools, including artificial intelligence, and our team reviews each Report before we release it. We aim to deliver a Report within one business day of confirming payment. That is an estimate, not a promise, and we tell you if we expect a delay.
We may improve, change or retire features of a Service. If a change would materially reduce what you have paid for, section 21 applies.
04Your account
An account is free. You must give accurate details, keep your password private, and tell us straight away if you think someone else has used your account. You are responsible for activity on your account.
While Vyzpro is in public beta, each account may request up to one free audit. We review and approve each request before we start work on it, and we may decline a request. Free beta Audits are provided as is, and the delivery guarantee in the refund section applies only to paid Audits.
You tell us the country your business is based in when you create your account or place your first order. It is set once, because it decides how we treat tax on your orders. If it is wrong, or your business moves, contact us through our contact page and we will change it.
Your Reports stay available to download from your dashboard while your account is open. You can ask us to close your account at any time. We may suspend or close an account as section 16 describes.
05Your responsibilities
You agree to give us accurate details, including your website address, market and competitors. You confirm that you are entitled to request a review of the website you submit as your own, and that you ask us to review the competitor websites you name, or that we choose for you, for a legitimate business purpose.
If you order for another business, such as a client of your agency, you confirm that you have its authority and you remain responsible for it complying with these terms.
We do not need logins or access to your systems. If you choose to share private information, such as analytics data, you confirm you are allowed to share it with us.
You must not use the Services unlawfully, to mislead anyone, or to harm or harass another person or business. You must not try to disrupt or gain unauthorised access to the Site or our systems, or use automated means to order or collect Reports in bulk.
06Prices, tax and payment
Prices are in Australian dollars (AUD) and are shown on our pricing page and at checkout. We do not currently charge GST. If that changes, we will show the GST separately on the pricing page and at checkout before you pay, and it will not apply to an order you have already paid for. Any taxes, duties or bank and currency-conversion charges that your own country or card issuer imposes, such as VAT, sales tax or foreign-exchange fees, are your responsibility unless we tell you at checkout that we have added them.
The Audit is payable when you order. Monitor is payable for the full twelve months when you order, unless we agree otherwise in writing. Payments are processed by Stripe, and you authorise us and Stripe to charge the payment method you provide. We start work once Stripe confirms payment.
Monitor ends after twelve months. It does not renew unless you agree to renew it, and we contact you before it ends.
If a payment fails or is reversed, we may suspend access to Reports until it is resolved. A change to our prices does not affect an order you have already paid for.
07Delivery and problems with a Report
We deliver each Report to your dashboard and email you when it is ready. If you think a Report contains an error or does not do what we said it would, tell us through our contact page within 14 days of delivery, with details. We will review it and, where the Report does not meet these terms or the law, we will correct it or redo the work.
08What we do not promise
Search engines and AI tools decide what they show, and they change often. For that reason we do not promise or guarantee any ranking, AI citation or mention, traffic, leads, sales or revenue, or that any action you take will have any particular result.
A Report is general business information and professional opinion at a point in time. It is not legal, financial, tax, regulatory or compliance advice. Where a Report flags a claim for compliance review, that does not mean the claim is or is not lawful; take advice from your own qualified advisers.
Our tools, including artificial intelligence, can make mistakes, and search and AI results vary by time, place and user. We label each finding as tested, observed, inferred or to verify so you can judge how much weight to give it. Scores, estimates and projections are our professional judgement, not guarantees.
Whether you act on our recommendations, and how, is your decision and your agency's.
09Using your Report
When you have paid, we grant you a non-exclusive, perpetual, non-transferable, worldwide licence to use your Report for your own business purposes, and to share it with your staff, agency, web developers, advisers and investors who need it and who agree to keep it confidential.
You must not resell the Report, publish it, or present it as your own work. You must not publish statements about another business taken from a Report as fact without first checking them yourself. You must not use a Report to mislead anyone.
The free sample Report is illustrative, uses fictional businesses, and is for evaluation only.
We may use de-identified data from the Reports we generate to improve our methods and our Services, without naming you or your business.
10Intellectual property and third-party content
We and our licensors own all intellectual property in the Site, the Services, our methods, scoring, Report formats and software. You keep ownership of the information you give us, and you grant us a licence to use it to provide the Services.
Reports describe and quote publicly available third-party content. Rights in that content stay with their owners. If you believe a Report infringes your rights, contact us through our contact page and we will look into it promptly.
11Consumer guarantees and your legal rights
Our Services come with guarantees under the Australian Consumer Law that cannot be excluded. Under that law many business purchases of less than AUD 100,000 are treated as consumer purchases, so those guarantees may protect your business.
Nothing in these terms excludes, restricts or modifies any right, remedy, guarantee, warranty or condition that you have under the Australian Consumer Law, or under any other law, that cannot lawfully be excluded, restricted or modified. If you are outside Australia, mandatory consumer or data protection laws of your country may also apply to you despite these terms, and where they do they prevail.
If a Service fails to meet a consumer guarantee, contact us through our contact page and we will work with you to remedy it. Depending on the failure, that may mean redoing the work or a refund.
12Refunds and cancellation
Delivery guarantee (Audit). If we do not deliver your Audit Report within 48 hours of your payment being confirmed, or the Report contains fewer than 10 actionable findings, we will refund the Audit fee in full on request. This guarantee covers delivery and the number of findings. It is not a promise about rankings, AI citations, leads or revenue. It does not apply where delay is caused by something outside our control, such as your website being unreachable, and it does not limit your rights under the Australian Consumer Law.
Audit. You can cancel an Audit for a full refund until we start preparing your Report. We usually start within minutes of payment, so contact us straight away. Once work has started, we do not refund an Audit unless a refund is required by law, or the Report is materially defective and we cannot correct it within a reasonable time.
Monitor. You can cancel Monitor at any time by contacting us. We refund the fee for each month for which we have not yet delivered a Report, calculated as the fee you paid divided by twelve for each such month.
Our right to cancel. We may cancel an order and refund you in full if we cannot deliver it, for example if the website cannot be reached.
We refund to the payment method you used. Your bank may take several days to show the refund.
13Our liability
This section applies to the maximum extent the law allows, and it is subject to section 11.
- Things the law does not let us limit. Nothing in these terms limits or excludes liability for fraud or wilful misconduct, for death or personal injury caused by our negligence, or for any liability that cannot lawfully be limited or excluded, including under the consumer guarantees in the Australian Consumer Law.
- Consumer guarantees. Where the Australian Consumer Law applies to a Service and allows us to limit our liability for a failure to meet a consumer guarantee, our liability is limited, at our option, to supplying the Service again or paying the cost of having it supplied again.
- Types of loss we exclude. We are not liable for any indirect or consequential loss, or for loss of profit, revenue, business, goodwill, anticipated savings, opportunity or data, whether the claim is in contract, tort (including negligence), statute or otherwise.
- Changes outside our control. We are not liable for loss caused by a change to a search engine, AI tool or other third-party platform, including to how it ranks, shows or cites your business, or by anything your agency or another third party does or does not do.
- Reliance on a Report. We are not liable for loss that results from a decision you make or an action you take or do not take because of a Report, to the extent it is not caused by our failure to meet these terms.
- Total limit. Our total liability to you for all claims arising out of or in connection with a Service is limited to the fees you paid for that Service in the twelve months before the event that gave rise to the claim. If you paid nothing, for example for the free sample Report or an account, it is limited to AUD 100.
- Your part. Our liability is reduced to the extent that you or anyone for whom you are responsible caused or contributed to the loss. You must take reasonable steps to limit your loss. Tell us about a claim as soon as you reasonably can after you become aware of it.
You acknowledge that our prices reflect this allocation of risk, and that a Report is prepared from publicly available information and professional opinion. If a limit or exclusion in this section cannot be enforced to its full extent, it applies to the maximum extent the law allows.
14Your responsibility for claims
You agree to cover us for loss we suffer, and for claims a third party makes against us, to the extent they arise from your breach of these terms, from information you gave us that you had no right to provide, or from your publication or use of a Report or statements taken from it in breach of section 9. This does not apply to the extent that we caused or contributed to the loss. We will tell you promptly about a claim and give you reasonable help to deal with it.
15Disclaimers
Subject to section 11, we give no warranty that the Site or the Services will be uninterrupted or error-free, or that a Report will be complete, accurate or fit for any particular purpose. To the maximum extent the law allows, we exclude all other warranties, conditions and terms implied by statute, general law or custom.
FOR CUSTOMERS IN THE UNITED STATES AND OTHER PLACES WHERE THE LAW ALLOWS IT: SUBJECT TO SECTION 11, THE SITE AND THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", AND WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
16Suspension and ending
We may suspend or close your account, or refuse an order, if you breach these terms, do not pay, misuse the Site or the Services, or if we must do so to comply with the law. Where we can, we tell you why and give you a chance to fix the problem. We may close a free account that has been inactive, after giving you 30 days' notice by email.
If we end a paid Service because you breached these terms, we are not required to refund fees for Reports already delivered. If we end a paid Service for any other reason, we refund the fee for any month for which we have not delivered a Report, as section 12 describes.
Sections that by their nature should survive, including sections 8 to 15, 22 and 23, continue after these terms end.
17Events outside our control
We are not liable for delay or failure caused by events beyond our reasonable control, including failures of the internet, search engines, AI providers, hosting or payment providers, industrial action, natural disaster, war, terrorism or a change in law. We will tell you if this affects an order and do what we reasonably can to deliver. If the event continues for more than 30 days, you may cancel the affected Service and we will refund the fee for any Report not delivered.
18Using this website
You may use this site to learn about Vyzpro and to contact us. You must not misuse it, including by attempting to break its security, overload it, or submit false or harmful information.
Examples on this site, including scores, business names and AI answers, are illustrative and use fictional businesses.
19Privacy and confidentiality
Our privacy policy explains how we collect, use and protect personal information.
We treat non-public information you share with us as confidential. We use it only to provide the Services and to run our business, and we share it only with service providers who are bound to protect it, or where the law requires. This does not apply to information that is public or that we receive from someone else.
We may use de-identified data from the Reports we generate, meaning data with your name, contact details and account details removed, to improve our service. We will not sell your personal information or provide it to anyone else, other than the service providers and legal cases our privacy policy describes.
20Communications
You agree we may contact you by email and through your dashboard about your account, orders and Reports, and that those messages satisfy any legal requirement that they be in writing. We send marketing messages only with your consent, and every marketing message lets you unsubscribe. To give us notice, use our contact page.
21Changes to these terms
We may update these terms from time to time. The version that applies to your order is the one shown on this page when you placed it, and it applies to that order for its whole term. The date at the top shows when we last updated them.
If during a Monitor term we make a change that is materially adverse to you, we will tell you at least 30 days before it takes effect, and you may cancel for a refund of unused months as section 12 describes. A change that the law requires applies as soon as it must. If you keep using the Site after a change, you accept the updated terms for your use of the Site.
22Disputes and governing law
These terms are governed by the law of Victoria, Australia and the Commonwealth of Australia.
If a dispute arises, write to the other party and try in good faith to resolve it within 30 days before starting court proceedings, except where you need urgent relief.
You and we submit to the exclusive jurisdiction of the courts of Victoria and the Federal Court of Australia, and the courts that can hear appeals from them. Nothing in this section removes a right you have under mandatory consumer or data protection law of your country to bring a claim in your home courts or to rely on local protections. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
23General
- Whole agreement. These terms, with your order confirmation and our privacy policy, are the whole agreement between you and us about the Services. This does not limit liability for a misrepresentation that cannot lawfully be excluded.
- Severability. If a part of these terms is unenforceable, it is read down or removed, and the rest continues.
- Waiver. If we do not enforce a right straight away, we have not given it up.
- Assignment. You may not transfer your rights under these terms without our written consent. We may transfer ours to a successor to our business if that does not reduce your rights.
- Relationship. We are an independent contractor. Nothing in these terms makes us your partner, agent or employee.
- Third parties. A person who is not a party to these terms has no right to enforce them, including under the Contracts (Rights of Third Parties) Act 1999 (UK).
- Language and reading. These terms are in English, and English prevails over any translation. "Including" does not limit what comes before it.
24Use of artificial intelligence
How we use it. We use artificial intelligence (AI) tools, including generative AI, to research, analyse and write Reports and the code snippets in them, and our team reviews each Report before we release it. Our privacy policy explains what information the AI provider receives.
AI-assisted content. Reports, recommendations and code, such as ready-to-paste JSON-LD, are created in whole or in part with the help of AI. You may use them under the licence in section 9. Because AI can produce similar output for different people, we do not promise that content is unique or that no one else has received something similar.
Accuracy. We do not warrant that AI-assisted content is accurate, complete or fit for a particular purpose, and you should check it before relying on it or publishing it. Our responsibility for errors is limited as section 13 describes, and nothing in this section limits the consumer guarantees and rights described in section 11, or our delivery guarantee in section 12.
Your input. We do not use AI to make decisions about you that have legal or similarly significant effects. If we ever record calls or meetings with an AI transcription tool, we will tell you at the start and you can ask us not to.
